Terms & Conditions
WE, BLUE SQUARE OFFICES LIMITED trading as Blue Square Offices ("Blue Square"), providing business services from their Business Centre at 272 Bath Street, Glasgow G2 4JR ("The Centre") offer the "Customer" (the company, firm or individual referred to in the online application form), an Agreement to use the services as detailed under one of the headings of Virtual Office Packages 1, 2, 3, 4, 5 or Registered Office Address and provided by Blue Square on the conditions set out in this Agreement.
The Customer agrees to be bound by all the terms and conditions of this agreement and agrees that it is enforceable as if it were a written negotiated agreement signed by the Customer and Blue Square.
1. The Agreement Fee
1.1 The Customer shall pay to Blue Square the initial Agreement Fee plus VAT as stated in the online application form by credit card (a valid Debit or Credit Card which the Customer is authorised to use). The Customer shall pay one or twelve months' agreement fee(s) in advance (dependent on the chosen agreement term) and subsequent payments will be made on the 14th day of each month or if applicable, the 14th day of the month in which the anniversary of the start of the 12 month agreement occurs, by Direct Debit.
1.2 This Agreement shall commence on the agreed date as stated in your confirmation email and shall initially run for a minimum of one or twelve months dependent on the chosen agreement term. Thereafter, it will renew monthly or annually (dependent on the chosen agreement term) and Clause 7 (below) shall govern the termination of the Agreement.
1.3 Blue Square shall be entitled to vary the level of the Agreement Fee payable, by serving one month's written notice to that effect on customers who are operating out with the period of their initial agreement. This variation will compensate Blue Square for increased overheads and running costs. Blue Square will not be entitled to vary the Agreement Fee more than once in any 6-month period.
1.4 Chargeable Services, which are not covered by the Agreement Fee, will be invoiced monthly in arrears. These services and charges (and the current rates for them) are detailed in the Blue Square Website and in your Welcome Pack. Payment for these services and charges must be made by Direct Debit to Blue Square within 14 days of them being invoiced.
2. Credit Card and Direct Debit Payment
2.1 By electing to make your initial payment by credit card (a valid Debit or Credit Card which the Customer is authorised to use), the Customer warrants that all information submitted is true, valid and accurate including without limitation the Customer’s credit card number and expiry date. Following your initial payment, chargeable services and the agreement fee will be payable on a monthly basis by Direct Debit to Blue Square. The Customer must maintain a current Direct Debit instruction in favour of Blue Square, at all times. Blue Square reserves the right to suspend Services immediately without notice and terminate Services after 7 days’ prior written notice, upon the Customer cancelling their Direct Debit instruction or upon a returned unpaid Direct Debit payment request. The Agreement Fee plus VAT, will be payable by the Customer during any period of suspension of the services.
3. Ordering our Products and Services
3.1 The Customer is presented with various choices during the ordering process and it remains the Customer’s responsibility to make sure that they read and fully comprehend these choices before proceeding with any order. If the Customer has any questions regarding our products and/or services, Blue Square strongly recommend that the Customer gives us a call during our operating hours. Whilst Blue Square endeavour to provide a prompt response to Customer’s enquiries, we cannot guarantee to do so in every instance. It therefore remains the Customer’s duty to elicit further information from Blue Square regarding the product the Customer intends to order before the order is placed.
3.2. All orders that the Customer places through this Website are considered to be an offer by the Customer to purchase the products and/or services that Blue Square provide, subject to these Terms and Conditions and Blue Square’s acceptance of the order. Blue Square may choose to reject any order without divulging the reason for doing so.
3.3 Blue Square is regulated by the Money Laundering and Terrorist Financing (Amendment) Regulations 2019 and by agreeing to our terms and conditions you are granting us permission to carry out a digital ID verification check by CreditSafe or a similar organisation for the purposes of checking your identity and address. This online check may be recorded on your credit record, and a record of the search will be retained.
3.4 Failure to comply with any request for such documents may result in the cancellation of services. No refund shall be given for the cancellation of services resulting from a failure to comply with our Anti-Money Laundering procedures. For further information please review our ID Requirements.
3.5 As a Company Service Provider, Blue Square require complying with Anti-Money Laundering regulations, and has a responsibility to carry out diligence checks on customers (companies, officers and shareholders) that have purchased a product with an element of duration and anonymity (Registered Office, Business Address/Mail Forwarding Service, Call Answering Service). Should any of Blue Square’s checks result in the detection of illegal or unethical activities, Blue Square reserve the right to terminate services without notice and without refund.
3.6 In order to comply with the rules set by 'Know Your Customer' (KYC) requirements, Blue Square will ask the Customer to complete a short questionnaire on the business activity or activities of the Customer’s company and the motive for the Customer’s business relationship with Blue Square Offices.
4. The Customer's Obligations
4.1 The Customer warrants and undertakes:
(a) To pay the agreement fee specified in Clause 1.1 and the chargeable services referred to in Clause 1.4 at the times and in the manner provided.
(b) That all information which is entered on the online application form is accurate and complete.
(c) That it shall promptly update any information which may change during the term of this Agreement.
(d) Use the business services solely for the purposes of their business and for no other purpose, without Blue Square's prior written consent.
(e) Carry out their business so as to cause no interference to Blue Square or other users of the Centre or the building of which the Centre forms part.
(f) Carry out their business in a professional and ethical manner and in such a way as not to bring the Centre into disrepute.
(g) Comply fully with any rules or regulations that Blue Square lay down from time to time to facilitate the smooth and efficient running of its business centre.
(h) In no way seek to assign or share the Customer's rights under this Agreement in whole or part.
(i) Accept full responsibility for the management and supervision of its own business activities, including the checking of all tasks carried out on its behalf by Blue Square.
(j) Arrange appropriate insurances in respect of it's own business activities.
(k) Indemnify Blue Square against all liability, costs and damages arising out of any act, omission or neglect of the Customer.
4.2 If the Customer recruits, (directly or indirectly), any member of Blue Square's staff either during or up to six months after the expiry or termination of this Agreement, the Customer must pay Blue Square a one-off sum equal to 20% of the annual salary which Blue Square pays the staff member.
4.3 If the Customer's Package includes Mail Handling, Blue Square will only start to provide the Mail Handling Service once the Customer has provided all documents and identification required by Blue Square and Blue Square has confirmed that set-up is complete.
5. Blue Square's Obligations
5.1 Blue Square undertakes to:
(a) Provide the Customer with the services as detailed under one of the headings of Virtual Office Packages 1, 2, 3, 4, 5 or Registered Office Address as chosen by the customer and as referred to in your confirmation email and Welcome
Pack.
(b) Notify the Customer at agreed intervals of the Customer's costs regarding the additional charges and services.
5.2 Blue Square agrees to receive on the Customer's behalf from the Post Office or any statutory or other body authorised by law to operate a mail delivery service, all pre-paid Mail. Blue Square reserves the right in its absolute discretion to refuse acceptance of any Mail for any reason whatsoever including (without prejudice to the foregoing):
(a) there is no or insufficient prepaid postage;
(b) if the Agreement Fee is in arrears or unpaid or
(c) if it appears to Blue Square in its opinion that the Mail contains or comprises of some dangerous, noxious or illegal matter.
6. Limitation of Liability
6.1 Blue Square shall not be responsible for the safekeeping of items delivered to the Centre nor shall it affect any insurance in respect thereof whether such items are in the Centre or whether Blue Square has removed them. Accordingly Blue Square will not be liable for any loss, damage or destruction whatsoever to property retained or sent to the Customer whether or not such loss, damage or destruction is due to any act or omission of any nature whatsoever of Blue Square, its employees or its agents, tenants, contractors, invites, licensees or any other person.
6.2 Blue Square accepts no responsibility whatsoever for any loss or damage sustained by the Customer as a result of fire, storm, flood, destruction of the Centre in whole or in part, the failure or interruption of any services to the Centre, or any other cause out with Blue Square's reasonable control.
6.3 Blue Square accepts no responsibility for any loss arising out of any act, omission, neglect, or delay by us, or our employees or agents, in the process of receiving, sorting and forwarding mail on behalf of the Customer.
6.4 Blue Square shall bear no responsibility for the safekeeping any Mail addressed to the Customer and delivered to the Centre, either to the sender or to the Customer, and if the Customer fails to remove such Mail within one month after a notice to that effect has been given to the Customer at his address shown in the online application form, then Blue Square may in its absolute discretion return such Mail to the sender without further notice to the Customer. The Customer shall pay Blue Square's costs or expenses incurred in connection with this paragraph to Blue Square in full demand.
7. Meeting and Conference Room Bookings
7.1 In the event of a Customer cancelling a meeting room booking and in doing so provides less than 24 hours' notice, a cancellation charge of the full meeting room booking cost will apply. In the event of a Customer cancelling a conference room booking and in doing so provides less than 48 hours' notice, a cancellation charge of the full conference room booking cost will apply. Should a Customer over-run the original booking time of a meeting or conference, we allow 10 minutes for these over-runs before Customers are liable to be charged for additional usage, at 1 hour increments. In instances of Customers cancelling bookings within 30 minutes of the scheduled commencement time or not showing up, then catering and/or refreshments provided for said booking will be charged at full cost.
8. Company Address Services
8.1 If the Customer purchases a Registered Office Address from Blue Square, we shall not be responsible for updating this information at Companies House on the Customer’s behalf – the responsibility of ensuring this information is registered with Companies House and updated on the public record will be the Customer’s.
8.2 Blue Square shall not accept any general business mail (non-statutory mail) for the Customer or their business through Blue Square’s Registered Office Address Service - general business mail will only be accepted at Blue Square’s offices and advanced to the Customer if they purchase the Business Address Service.
8.3 If payment for renewal of a Registered Office Address service has not been made on or before the anniversary of the date of the preceding payment, or the Customer has failed to provide the necessary ID, the Customer agrees to remove our address at Companies House. Failure to remove our address at Companies House, will result in Blue Square applying to Companies House to have the our address removed by form RP07, replacing the address with the Companies House default address on the public register.
8.4 Blue Square Offices maintains the right to cancel an address service with immediate effect should we believe the Customer has caused a tangible risk to Blue Square’s standing and/or business. Under such circumstances, the Customer agrees to remove our address at Companies House. Failure to remove our address, will result in Blue Square applying to Companies House to have the our address removed by form RP07, replacing the address with the Companies House default address on the public register.
8.5 Our address services are provided for the purposes of listing our address as your company's registered office on Companies House, and for mail forwarding and mail collection purposes only. Our address services cannot be used for trading address purposes, or as the Principal Place of Business for VAT registration purposes.
8.6 Blue Square Offices' services are not available for use by Scottish Limited Partnerships (Scottish LPs).
9. Termination of this Agreement
9.1 By either Blue Square or the Customer; where the Customer has opted to pay monthly, at the expiry of one month's written prior notice served on the other party (provided always that this Agreement cannot be terminated during the initial 3 month period specified in Clause 1 of this Agreement by the service of such a notice by either party).
9.2 By either Blue Square or the Customer; where the Customer has opted to pay annually, at the expiry of one month's written notice served on the other party at least one month prior to the expiry of the initial or any subsequent 12 month period (provided always that this Agreement cannot be terminated during the initial or any subsequent 12 month period specified in Clause 1 of this Agreement by the service of such a notice by either party). Failure to serve prior written notice of termination at least one month prior to the expiry of the initial or any subsequent 12 month period will deem this agreement to renew for a further 12 month period.
9.3 By Blue Square, on the expiry of 7 days' written notice served on the Customer to that effect, in the event of the Customer being in breach of any of its obligations under this Agreement. NOTE: Failure to supply or cancellation of a DIRECT DEBIT instruction by a client without prior agreement with Blue Square will be deemed a breach of its obligations and Blue Square will be entitled to issue 7 days' written notice of termination of this Agreement.
10. Refund Policy
10.1 When the Customer purchases a company address service (Registered Office Address and/or Business Address/Mail Forwarding Service) but subsequently changes their mind;
a) If Blue Square have not completed the set up of the Customer’s order, the Customer will be eligible for a refund of all monies paid to Blue Square, as long as the notice to cancel is given within 14 calendar days of the purchase
date. If the cancellation request is after 14 days, a refund will not be given.
b) If Blue Square have completed the Customer’s order and set up the address service(s), the Customer will be entitled to a refund of all monies paid to Blue Square, minus a £10.00 administration charge per address service, provided the notice to cancel is given within 14 calendar days of the purchase date. A refund will not be given for cancellation requests after 14 calendar days from the date of purchase. The administration charge covers the cost of administering the order, setting up your service(s), and other incidental costs.
10.2 No refund will be provided if Blue Square need to cancel an address service (Registered Office Address, Business Address/Mail Forwarding Service) because the Customer has failed to supply proof of ID and proof of address as required by Blue Square’s terms and conditions. This is to safeguard our compliance with the latest Anti-Money Laundering requirements and ‘Know Your Customer’ (KYC) regulations.
11. Use of this Website
11.1 This Website is operated and controlled from the United Kingdom and these terms and conditions and your use of this Website are governed by and construed in accordance with the laws of Scotland. By progressing beyond this screen, you are deemed to accept them. If you do not accept them please exit our website now.
11.2 This website contains general information and whilst we believe the materials on this website to be true and accurate as at the date of writing we can give no assurances or warranty regarding the accuracy currency or applicability of any of the content in relation to specific situations or particular circumstances and accept no liability for loss or damage caused by inaccurate information.
11.3 We accept no responsibility for and exclude all liability for damage and loss in connection with browsing this site, use of information on this site and downloading any material from it including but not limited to errors, inaccuracies, omissions and misleading or defamatory statements, whether direct or indirect or consequential.
11.4 We cannot promise that access to this website will be uninterrupted or entirely error free. We will not be responsible in any circumstances for any consequential or incidental damages (including but not limited to loss of profits, loss of privacy and loss of data) or for any other indirect, special or punitive damages whatsoever that arise out of or that are related to use of this website.
